# Supplier Terms & Conditions

## **1. Introduction**

These Terms & Conditions (“Agreement”) govern the relationship between Peptide Supermarket (“Platform”, “we”, “us”) and approved peptide suppliers (“Supplier”, “you”).

By supplying products to or through the Platform, you agree to be bound by these Terms.

## **2. Supplier Eligibility & Approval**

2.1 All suppliers must undergo a vetting and approval process prior to listing products.

2.2 The Platform reserves the right to accept or reject any supplier at its sole discretion.

2.3 Suppliers must provide accurate business details, including registration documents and relevant certifications upon request.

## **3. Product Standards & Compliance**

3.1 All products supplied must comply with applicable UK laws and regulations.

3.2 Products must be manufactured, stored, and transported under appropriate quality control conditions.

3.3 Suppliers are responsible for ensuring all products are safe, legal, and fit for intended use.

3.4 The Platform reserves the right to remove any product that raises compliance or safety concerns.

## **4. Certificates of Analysis (COA) & Testing ???**

4.1 Each product batch must be accompanied by a valid Certificate of Analysis (COA).

4.2 COAs must be issued by a recognised and/or independent laboratory where possible.

4.3 The Platform may request additional third-party testing at any time.

4.4 Failure to provide valid COAs may result in suspension or removal.

## **5. Pricing & Commercial Terms**

5.1 Pricing is to be agreed in writing between the Platform and Supplier.

5.2 The Supplier agrees to honour agreed wholesale and affiliate pricing structures.

5.3 Payments will be made according to agreed schedules and methods (including fiat or USDT where applicable).

5.4 The Platform reserves the right to withhold payments in the event of dispute, investigation, or breach.

## **6. Affiliate Tracking & Attribution**

6.1 Affiliate tracking must be accurate, transparent, and tamper-proof.

6.2 The Platform is not responsible for discrepancies arising from third-party tracking systems unless otherwise agreed.

6.3 Disputes relating to attribution must be raised within a reasonable timeframe.

## **7. Intellectual Property**

7.1 All branding, trademarks, and content relating to Peptide Supermarket remain the property of the Platform.

7.2 Suppliers may not use branding or marketing materials without prior written consent.

7.3 Suppliers grant the Platform a licence to use product information for listing and marketing purposes.

## **8. Regulatory Responsibility**

8.1 Suppliers are solely responsible for compliance with all applicable laws and regulations.

8.2 This includes (but is not limited to) manufacturing standards, export/import rules, and product classification laws.

8.3 The Supplier agrees to indemnify the Platform against any regulatory breaches or claims.

## **9. Liability & Indemnity**

9.1 Suppliers are fully responsible for the safety, legality, and quality of their products.

9.2 The Supplier agrees to indemnify and hold harmless the Platform from any claims, damages, losses, or liabilities arising from supplied products.

9.3 The Platform’s liability shall be limited to the extent permitted by law.

## **10. Confidentiality**

10.1 Both parties agree to keep confidential all commercial, pricing, and operational information.

10.2 Confidential information may not be disclosed to third parties without written consent.

## **11. Data Protection**

11.1 Suppliers must comply with applicable data protection laws, including UK GDPR.

11.2 Any customer or platform data shared must be handled securely and lawfully.

## **12. Termination**

12.1 The Platform may suspend or terminate a supplier relationship at any time for breach of these Terms.

12.2 Immediate termination may apply in cases of fraud, regulatory risk, or reputational harm.

12.3 Upon termination, outstanding obligations and payments will be reviewed and settled accordingly.

## **13. Governing Law**

13.1 This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.

13.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

## **14. Acceptance**

By supplying products to Peptide Supermarket, the Supplier confirms acceptance of these Terms & Conditions.
